License Agreement

You should carefully read the following terms and conditions before using SQL Studio Data Compare. Unless you have a different license agreement signed by Tangra, inc., your use of this software indicates your acceptance of this license agreement and warranty. If you do not accept these terms you must cease using this software immediately.

BY DOWNLOADING, INSTALLING AND/OR USING THE SOFTWARE OR CLICKING "I ACCEPT" WHEN PROMPTED IN CONJUNCTION THEREWITH, YOU ("LICENSEE") ACCEPT ALL OF THE TERMS AND CONDITIONS OF THIS LICENSE. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF ANOTHER PERSON OR LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE FULL LEGAL AUTHORITY TO ACCEPT ON BEHALF OF AND BIND THAT PERSON OR LEGAL ENTITY TO THESE TERMS.

Ownership of Intellectual Property Rights

All Intellectual Property Rights in or relating to the Software and all parts of the Software are and shall remain the exclusive property of Tangra, Inc.

Evaluation and Registration

This is not free software. You are hereby licensed to use the Software for evaluation purposes without charge for a period of 30 days. If you use the Software after the 30 day evaluation period a registration fee as described in the documentation is required. Unregistered use of the Software after the 30-day evaluation period is in violation of U.S. and international copyright laws.

One registered copy of the Software may either be used by a single person who uses the software personally on one or more computers, or installed on a single computer used by multiple people, but not both.

An organization may purchase a multi-user site license amounting to either the number of individuals who have access to the Software on any number of computers, or the number of computers that will access the Software by any number of individuals. A site is defined as all company locations within a 100 mile radius. Site licenses do not cover subsidiary companies, or customers of a company.

Distribution

You may not make copies, translations, or modifications of or to the Software, except you may copy the Software into a machine readable or printed form for backup purposes and support of your use of the Software.

You may not assign, sell, lease, rent, sublicense, or transfer the Software or this license or disclose the Software to any other person.

Term and Termination

This license terminates if you fail to comply with any provision in this Agreement. You agree upon termination to destroy the Software, together with all copies, modifications, and merged portions in any form, including a copy in your computer memory or on a hard disk.

Governing Law

This agreement shall be governed by the laws of the State of Michigan.

Disclaimer of Warranty

THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OF MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED. ANY LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO REFUND OF PURCHASE PRICE.

Limitation of Liability

IN NO EVENT SHALL Tangra, Inc.’s LIABILITY TO YOU FOR DAMAGES HEREUNDER FOR ANY CAUSE WHATSOEVER EXCEED THE AMOUNT PAID BY YOU FOR USE OF THE SOFTWARE. IN NO EVENT WILL Tangra, inc. BE LIABLE FOR ANY LOST PROFITS OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE PROGRAM EVEN IF Tangra, Inc. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
